Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Office Claws desktop application, website at officeclaws.com, and related services (collectively, the "Service") provided by Office Claws ("we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately at hello@officeclaws.com if you suspect unauthorized use of your account.

3. Description of the Service

Office Claws is a desktop application that enables you to provision, manage, monitor, and interact with AI agents running on virtual private server (VPS) infrastructure. The Service includes:

  • A native desktop application for macOS, Windows, and Linux
  • Automated VPS provisioning on cloud infrastructure providers
  • Encrypted networking between your desktop app and agent VPS instances via Tailscale
  • A real-time chat interface for communicating with your AI agents
  • A visual pixel-art office environment for agent management

4. Subscription Plans and Payment

4.1 Plans

We offer the following subscription plans:

  • Self-Hosted— You provide your own cloud infrastructure account (e.g., DigitalOcean, Contabo). We provide the desktop app and orchestration.
  • Managed— We provision and manage the VPS infrastructure on your behalf.

Plan details, pricing, and features are listed on our Pricing page and may change from time to time. We will provide reasonable notice before any price increase takes effect.

4.2 Billing

  • Subscriptions are billed on a recurring basis (monthly or annually) starting from the date of subscription.
  • All fees are quoted in US Dollars unless otherwise stated.
  • You authorize us to charge your designated payment method for all fees incurred under your account.
  • If a payment fails, we may suspend your access to the Service until the outstanding balance is settled.

4.3 Taxes

All fees are exclusive of taxes unless otherwise stated. You are responsible for all applicable taxes, including VAT, GST, and sales tax, based on your jurisdiction.

4.4 Free Trial

We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial expires. We will clearly communicate the trial duration and conversion terms at sign-up.

5. Cancellation and Refunds

  • You may cancel your subscription at any time from your account settings or by contacting us at hello@officeclaws.com.
  • Upon cancellation, your subscription remains active until the end of the current billing period.
  • After the billing period ends, your agents will be stopped but not immediately deleted. You may resubscribe to resume service.
  • For Managed plan users, VPS instances will be terminated 30 days after subscription expiration. Any data on those instances will be permanently deleted.
  • Refunds are provided at our discretion. If you are unsatisfied with the Service, contact us within 14 days of your initial purchase and we will work with you to resolve the issue or issue a refund.

6. Your Responsibilities

6.1 API Keys and Third-Party Services

  • You are responsible for obtaining and maintaining valid API keys from your AI provider(s) (e.g., OpenAI, Anthropic) and cloud infrastructure provider(s) (e.g., DigitalOcean, Contabo, Tailscale).
  • You are responsible for all costs incurred with third-party providers (AI API usage fees, VPS hosting charges, etc.). These costs are separate from your Office Claws subscription.
  • You must comply with the terms of service of all third-party providers you integrate with through the Service.

6.2 Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Generate, store, or distribute illegal, harmful, abusive, defamatory, or obscene content
  • Send spam, phishing messages, or other unsolicited communications
  • Distribute malware, viruses, or any other malicious code
  • Attempt to gain unauthorized access to our systems, other users' accounts, or third-party infrastructure
  • Interfere with or disrupt the Service or its underlying infrastructure
  • Reverse engineer, decompile, or disassemble any proprietary components of the Service (except where permitted by law)
  • Use the Service to circumvent the usage policies of any AI provider
  • Resell, sublicense, or redistribute the Service without our prior written consent

6.3 Data and Content

You retain ownership of all data, content, and configurations you create or upload through the Service ("Your Content"). You are solely responsible for the legality and appropriateness of Your Content.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, pixel-art assets, software, text, graphics, logos, and documentation, is owned by Office Claws and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during the term of your subscription.

7.2 Open-Source Components

Certain components of the Service (including the agent runtime) are released under open-source licenses. Those components are governed by their respective licenses, which take precedence over these Terms for the scope of that software.

7.3 Feedback

If you provide suggestions, ideas, or other feedback about the Service, we may use it without restriction or compensation to you.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

9. Availability and Support

  • We strive to maintain high availability but do not guarantee that the Service will be uninterrupted, error-free, or available at all times.
  • We may perform scheduled or emergency maintenance that temporarily affects service availability.
  • Support levels depend on your subscription plan. Managed plan users receive priority support.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We do not warrant that the Service will meet your specific requirements, that AI agent outputs will be accurate, complete, or reliable, or that the Service will be available without interruption.
  • In no event shall Office Claws be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to your use of the Service.
  • Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Office Claws, its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content generated by AI agents provisioned through your account

12. Suspension and Termination

  • We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to us, other users, or third parties.
  • We may discontinue the Service or any feature with 30 days' advance notice. In such case, we will provide a pro-rated refund for any prepaid unused portion of your subscription.
  • Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive (including Sections 7, 10, 11, 13, and 14) will survive termination.

13. Dispute Resolution

  • Informal Resolution— Before filing any formal dispute, you agree to contact us at hello@officeclaws.com and attempt to resolve the issue informally for at least 30 days.
  • Governing Law— These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
  • Jurisdiction— Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts located in Delaware, United States.

If you are a consumer in the European Union, nothing in this section limits your right to bring proceedings in the courts of your country of residence or to benefit from mandatory consumer protection laws of your jurisdiction.

14. General Provisions

  • Entire Agreement— These Terms, together with the Privacy Policy, constitute the entire agreement between you and Office Claws regarding the Service.
  • Severability— If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
  • Waiver— Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment— You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
  • Force Majeure— We shall not be liable for any failure or delay in performance resulting from events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, internet failures, or third-party service outages.

15. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and provide notice (via email, in-app notification, or by posting on the website). Your continued use of the Service after the updated Terms take effect constitutes acceptance of the changes. If you do not agree, you must stop using the Service and cancel your subscription.
